Terms of Service

These terms explain, in plain language, what it means to browse, order from and use valerive.com. They cover who we are, what we ask of you as a customer, how our dresses are described and sold, what happens if something goes wrong, and the UK and Dutch consumer laws that sit alongside our own commitments. By using this website or placing an order, you agree to the terms set out below.

Section 1 — Acceptance & Who We Are
Using this website means accepting these terms

These Terms of Service ("Terms") form a binding agreement between you and S Commerce, the company that owns and operates Valerive, every time you browse valerive.com, create an account, or place an order. If you do not agree with any part of these Terms, please do not use the website or complete a purchase.

These Terms sit alongside, and should be read together with, our Privacy Policy, Return & Refund Policy, and Shipping Policy. Where those pages go into more detail on a specific topic — such as how a return works, or how we handle your personal data — the dedicated page governs that topic, and these Terms should not be read as repeating or overriding it.

Section 2 — Eligibility & Your Obligations
What we ask of everyone who uses this site

To place an order or create an account, you must be at least 18 years old and have the legal capacity to enter into a binding contract in your country of residence. If you are browsing on behalf of someone under 18, that is fine, but the order itself must be placed and paid for by an adult.

When you use valerive.com, you agree to do so lawfully and in good faith. That means, in practical terms:

You provide accurate information

Your name, delivery address, contact details and payment information must be accurate and belong to you, so that we can deliver your order and contact you if there's an issue.

You don't use the site for anything illegal

This includes fraud, placing orders you don't intend to pay for, using stolen payment details, or attempting to circumvent our security, pricing or promotional systems.

You don't scrape, harvest or reverse-engineer the site

Automated scraping of our product catalogue, pricing, images or customer reviews, and any attempt to copy, reverse-engineer or interfere with the underlying Shopify platform, is not permitted without our written consent.

You treat our team and other customers with respect

Abusive, threatening or harassing conduct towards our customer service team, delivery partners, or other users of the site will not be tolerated and may result in your order being cancelled or your account being closed.

Section 3 — Intellectual Property
The Valerive name, photography and content belong to us

Everything you see on valerive.com — our name and logo, product photography, dress descriptions, sizing guidance, page layouts, graphics, and the site's design and code — is owned by S Commerce or used under licence, and is protected by copyright, trade mark and other intellectual property laws in the Netherlands, the United Kingdom, and internationally.

You are welcome to browse, share links to, and screenshot our pages for personal, non-commercial purposes, such as showing a friend a dress you like. What you may not do, without our prior written permission, is reproduce, republish, resell, or otherwise commercially exploit our photography, written content, or branding — for example, using our product images on another store, in a resale listing, or in advertising that is not ours.

If you believe content on our site infringes your own intellectual property rights, please contact us at support@valerive.com and we will look into it promptly.

Section 4 — Product Descriptions, Colours & Pricing
We describe every dress as accurately as we can

We take real care over our product pages — measurements, fabric composition, fit notes and sizing guidance are written to reflect each dress accurately, and our size guide is there to help you choose the right fit before you buy. We do not knowingly publish inaccurate or misleading product information.

That said, colour can appear slightly differently from screen to screen depending on your device's display, brightness and calibration, and small variations between what you see online and the dress you receive can occur for this reason. Where a garment includes a natural material, hand-finished detail, or a print with a degree of variation between pieces, we describe this where relevant. If a dress you receive is materially different from its description — the wrong colour, wrong style, or missing a described feature — that is a fault covered under Section 7 of our Return & Refund Policy, not something you need to accept.

All prices on valerive.com are shown in pounds sterling (GBP) and, as we currently ship to United Kingdom addresses only, are inclusive of any UK duties applicable at checkout, with no separate customs charges due on delivery. We reserve the right to correct genuine pricing errors — for instance, a product listed at an obviously mistaken price due to a technical fault — before your order is dispatched, and we will always contact you first if this affects an order you've already placed, so you can decide whether to proceed at the corrected price or cancel for a full refund.

Section 5 — Orders, Payment & When a Contract Is Formed
Placing an order, and how payment works

When you place an order, you are making an offer to buy the item(s) in your cart. A contract is only formed once we send you an order confirmation email — until that point, we may decline an order, for example if an item is out of stock, if we suspect fraud, or if we identify a pricing or listing error as described in Section 4.

Payment is taken securely at checkout via Shopify's payment infrastructure. We accept the following payment methods:

Full payment is taken at the time you place your order, not on dispatch. We use industry-standard encryption and PCI-compliant payment processing, and we never store your full card details ourselves — see our Privacy Policy for how payment and order data is handled.

Our order cut-off time is 11:00 PM Monday to Friday (CET/CEST, GMT+01:00). Orders placed before this cut-off on a business day are processed within 1–2 business days; orders placed after the cut-off, or on a weekend or Dutch public holiday, are processed from the next business day. Section 6 — Returns, Refunds & Your Legal Right to Cancel
30 days to return, 10 days to be refunded

We offer a 30-calendar-day return window from the date of delivery, and once we have proof your return is on its way back to us, we process your refund within 10 days. This is more generous than the 14-day statutory minimum notice period under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the equivalent Dutch/EU right of withdrawal (herroepingsrecht) under Boek 6 of the Burgerlijk Wetboek, implementing EU Directive 2011/83/EU.

These Terms do not repeat the full mechanics of how a return works — where to send it, what condition an item needs to be in, how faulty or incorrect items are handled, and what falls outside the return window. That detail lives entirely in our Return & Refund Policy, which forms part of these Terms by reference and should be read in full before you request a return.

Section 7 — Limitation of Liability
Where our responsibility sits, in plain terms

Nothing in these Terms limits or excludes our liability where it would be unlawful to do so under Dutch or UK law — including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for a breach of your statutory rights as a consumer under the UK Consumer Rights Act 2015 or the Dutch Burgerlijk Wetboek. Those protections always apply in full, regardless of anything else in this section.

Outside of those protected areas, our total liability to you arising from your use of this website or an order you place, whether in contract, tort or otherwise, is limited to the amount you actually paid for the order giving rise to the claim. We are not liable for indirect or consequential losses — such as loss of income, loss of a specific event or occasion the dress was intended for, or loss of data — that were not reasonably foreseeable to both of us at the time you placed your order.

We are also not responsible for delays or failures caused by events genuinely outside our reasonable control, such as extreme weather, industrial action, or a failure of a third-party carrier or payment provider, beyond taking reasonable steps to keep you informed and to resolve the issue as quickly as we can.

Section 8 — Indemnification
If your misuse of the site causes us harm

If you breach these Terms, use the website unlawfully, or use it in a way that infringes someone else's rights, and a third party brings a claim against S Commerce as a result, you agree to indemnify us against reasonable costs, damages and legal fees arising directly from that breach. This does not apply where the underlying claim results from our own error, negligence, or failure to meet our obligations to you as a consumer.

Section 9 — Third-Party Links & Services
Links and tools we don't operate ourselves

Our site links to, or relies on, a small number of third-party services to work properly — our order tracking tool (ParcelPanel), our payment providers, and occasionally links to organisations such as consumer advice bodies. We choose these providers carefully, but we don't control their content, availability, or their own terms and privacy practices, and we're not responsible for them.

If a link takes you away from valerive.com, we'd encourage you to review that site's own terms and privacy policy before using it.

Section 10 — Suspension & Termination
When we may restrict access to the site

We may suspend or close your account, cancel a pending order, or restrict your access to valerive.com if we reasonably believe you've breached these Terms — for example through fraud, abuse of our returns process, or conduct towards our team described in Section 2. Wherever practical, we will tell you why.

Ending your account or being restricted from the site does not affect any order already placed and confirmed, or any statutory right you already hold in connection with that order — those rights continue exactly as set out in Section 6 and in our Return & Refund Policy.

Section 11 — Dispute Resolution & Governing Law
Dutch law governs, and UK consumer protections apply in full

Because S Commerce is a company registered in the Netherlands, these Terms and any contract formed through valerive.com are governed by the laws of the Netherlands. As a consumer, this does not take away any protection you're entitled to under the mandatory consumer laws of the United Kingdom, the country in which you, as a UK-based customer, are habitually resident — including your rights under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013, both of which continue to apply alongside Dutch law.

If a dispute arises that we can't resolve directly by email, it may be brought before the competent Dutch courts, or, at your choice as a UK consumer, before the competent courts of England and Wales. We always encourage you to contact us first at support@valerive.com so we can try to resolve things without the need for formal proceedings.

Section 12 — General Terms
The standard legal mechanics, explained simply
Entire agreement

These Terms, together with our Privacy Policy, Return & Refund Policy and Shipping Policy, represent the entire agreement between you and S Commerce regarding your use of valerive.com, and supersede any prior agreement, representation or understanding, whether written or verbal.

Severability

If any individual clause of these Terms is found by a court to be invalid or unenforceable, that finding will not affect the validity of the remaining clauses, which will continue to apply in full.

Assignment

We may assign, transfer or subcontract our rights and obligations under these Terms — for example, as part of a business restructuring — without needing your consent, provided this doesn't reduce your rights as a consumer. You may not assign or transfer your rights under these Terms to anyone else without our prior written agreement.

No waiver

If we don't immediately act on a breach of these Terms, that doesn't mean we've waived our right to act on it, or a similar breach, later.

Survival

Sections that by their nature are meant to continue beyond your use of the site — including Intellectual Property, Limitation of Liability, Indemnification, and Dispute Resolution & Governing Law — remain in effect even after your account is closed or these Terms otherwise come to an end.

Section 13 — Changes to These Terms
We'll always keep the current version here, dated

We may update these Terms from time to time — to reflect a change in the law, in how we operate, or in the products we sell. Any change will be published on this page with an updated effective date at the top. For material changes that affect your rights, we will take reasonable steps to bring this to your attention, such as a notice on the site or an email to registered account holders. Continuing to use valerive.com after an update takes effect means you accept the revised Terms; an order you've already placed remains governed by the Terms in force at the time you placed it.
